Definitions

AchieveLinks Program (or "Program"): A loyalty-marketing rewards program that connects you, your association, and affinity partners (sponsoring companies). It offers you an opportunity to earn valuable rewards for doing what you do every day—all at no cost to you. AchieveLinks puts the value of being in an association in your hands!

AchieveLinks Member(s) (or "Member"): An individual, business or other entity that has joined an association that is eligible and participating in the Program.

Affinity Center International, LLC (or "ACI"): The AchieveLinks Program administrator.

Affinity Partner(s) (or "Partner(s)"): Business partners, Sponsors, Merchants and Product & Service providers, from whom Members purchase products or services in order to earn LinksSM loyalty points.

Links loyalty points (or "Link(s)"): Points earned and accumulated by a Member when they purchase products or services from Partners via their associations' web portal.

Links loyalty points Account (or "Account(s)"): The Member's account where accumulated Links are stored until redeemed.

Qualifying Purchase: A purchase made from a Partner by an association member once enrolled and active in the Program, through the association's AchieveLinks co-branded web portal.

Rewards Center: ACI's online shopping portal where Members can redeem Links for products and services.

Reward Supplier(s) (or "Supplier(s)"): Merchants/Suppliers located within the Reward Center from whom Members may redeem Links for their purchase of products or services.

How it works

As an enrolled Member, you will earn Links for the purchases you make from Partners. You can earn Links for the things you buy every day for personal and business needs! Links are redeemable for the rewards found in the Reward Center. New Partners and reward options will be added over time to continually make the Program more valuable to you. Take a moment to consider all the things you might do with your Links -- a memorable vacation with your family, a new digital camcorder to capture those memories, or maybe something to support your business. If you can dream it, you can achieve it through your participation in the Program. This Program offers you incredible opportunities and personal benefits, but there’s more. As you purchase and earn Links loyalty points, you will help your association earn money to support its mission. Just think, your association provides a valuable Member benefit to you and, in turn, you provide an important benefit to your association – just by participating in the Program. Now that’s a win-win

Member in AchieveLinks - General

  1. Through activation and/or use of the Program, and actively earning and or redeeming, you are accepting the terms of the Program.
  2. The Program is a loyalty-marketing rewards program offered by Affinity Center International LLC. Under the terms and conditions of the Program ("Rules"), you will earn Links every time a Qualifying Purchase is made with a participating Partner, as communicated on the program website. You can redeem these Links to merchant gift or travel certificates, gift cards, merchandise, donations, association offerings and much more (referred to generally as "Rewards"). By participating in the Program (earning, accumulating and redeeming Links ), you are agreeing to be bound by these Rules. In addition to these Rules, any agreements between you and ACI (and/or the Business to which you are a representative of in the program) regarding the enrolled Account(s) shall continue to govern use of the Program. In the event of a conflict between such agreements and these Rules, the terms and conditions of such agreements will govern, except these Rules will govern in any matter relating to the Program.
  3. As a Member in the Program you are required to take precaution and accountability for the security of your password and Link activities. It is your responsibility to not share or misuse your account information.
  4. Links can be used to order the rewards described in the current Reward Center, which may be updated from time to time. Links never expire and the number earned from purchasing and/or required to redeem for any reward is subject to change from time to time without notice. In addition, rewards may be discontinued or substituted at any time. Suppliers have agreed that, to the best of their ability, products and services featured in the Program will be available in sufficient quantities to meet expected demand. However, there may be instances in which demand for a product or service exceeds supply, in which case ACI and the Supplier each reserve the right to substitute a similar item of equal value or withdraw the offer for that product or service. If it is not replaced, the Member will be advised to make an alternate selection. If this is not acceptable to the Member, the Links will be re-deposited in the Member's Account.
  5. Links have no cash value.
  6. Links in the Program cannot be exchanged for cash or credit, and may not be used with any other offer, promotion or discount.
  7. ACI may modify, restrict or change the Program at any time. These changes may include (but are not limited to) changing the number of Links you earn for a particular type of activity or the number of Links you need to reach a particular Reward tier or to redeem for a particular Reward; omitting or adding Reward levels or categories; changing the selection of Rewards; changing where you can earn Links ; changing the number of Links earned by participating Partners; changing the required number of Links required to redeem an item; imposing, increasing or eliminating Links caps or Program fees; or changing the conditions under which Links expire or are forfeited. We will notify you of material changes to these Rules and, unless you decide to terminate your Program participation, you will be bound by the revised Rules.
  8. In certain instances, Links can be earned and transferred to or possibly combined with another Member's Account for redemption
  9. It is each Member's responsibility to understand and abide by the policies of the Member's company or other entity regarding the ability of the Member to earn through purchasing behaviors and redeem Links earned in the Program. ACI and the participating association(s) accept no responsibility or liability for Members who redeem or misuse Links contrary to the policies of the Member's company or organization.
  10. The Member is responsible for any federal, state, or local income or other taxes or gratuities, if applicable.
  11. It maybe necessary for the Member, whether corporate or individual, to provide an accurate Tax ID number (EIN or Social Security number) as part of the enrollment process.
  12. Links may be forfeited due to Rules violations.
  13. ACI owns all intellectual property and rights to AchieveLinks and all thinking surrounding the concept and idea.
  14. ACI owns the Links Loyalty Points and any value associated with the Links.
  15. All Rules determinations by ACI are final. The Member's use of the Program following receipt of these Rules will indicate their agreement to comply with and abide by these Rules.
  16. Links Expiration / Forfeiture: While Links do not expire, if ACI or any of its programs no longer are in operations or in business, we reserve the right in our sole discretion to terminate your AchieveLinks Links loyalty points Account for any reason. If your Links loyalty points Account is terminated, all of your unused Links will be forfeited. You will not be provided with notice of expiration or forfeiture of points. You are not entitled to compensation in any form.
  17. ACI reserves the right to terminate the Program or portions thereof at any time without restriction or penalty. This means that regardless of a Member's level of activity in the Program, the ability to accumulate Links or claim rewards can be terminated with or without prior notice. The redemption value of Links already accumulated may be changed at any time without notice and without restriction or penalty and can be terminated.
  18. ACI and/or its participating Partners and/or credit card issuing partner may communicate with you regarding any matter related to the Program via mail, via telephone or via electronic communications. If you use the Program website, we may communicate electronically, including electronic mail and/or postings to the Program website.
  19. By enrolling and using the Program, you authorize ACI and our Partners to use information related to your Program participation and your Account (and information provided by you to participate in the Program) to customize your Program experience. This may include communicating special offers, including solicitations to sign up for the AchieveLinks credit card, and featured Rewards, and customizing the promotional information.
  20. Members who wish not to receive Program-related marketing communications and promotions via email or standard mail may opt-out of these communications. Most emails sent will include an opt-out link and Members may contact AchieveLinks Program headquarters at achievelinks@affinitycenter.com with instructions to remove the Member from the Program mailing list.
  21. Although features and applications permitting Program participation via mobile devices are not currently available, these convenient features may be available in the future. Such features and applications may include alerts and promotional offers provided via SMS Short Message Service via email, text, cell phone or a downloadable application.

Member in AchieveLinks - Earning Links Loyalty Points

  1. As a member in the Program you will earn Links when you purchase from a participating Partner in the Program. The number of Links earned will vary and change by Partner.
  2. Members will only be recognized as AchieveLinks Members and earn Links for their purchases if they access Affinity Partner sites from the AchieveLinks site, which acts as a portal for all of their AchieveLinks purchase transactions. Members will not earn Links if they initiate purchases directly from an Affinity Partner site without first signing into the AchieveLinks site and “clicking through” to the Affinity Partner site.
  3. ACI has the right to add, change or eliminate any earning Partner in the Program at any time, without notice.
  4. In addition, ACI has the right to change the rate of earning Links at any time, up or down.
  5. It is the Member's responsibility to understand the earnings terms and processes outlined with each participating Partner in the Program.
  6. It is the Member's responsibility to make sure that they are tracking their earnings and their purchasing activity as it appears on their Transaction History (account statement).
  7. It is understood that Partners' processes and timing in regard to depositing the Links, can take up to 90 days to appear in the Member's account
  8. Use of the word 'earn' in marketing materials in relation to Links shall mean collect and shall not infer that the Links have any value until they are presented for redemption. Links may not be purchased or sold and are not transferable except as otherwise stated herein.

Member in AchieveLinks - Redeeming Links Loyalty Points

  1. As a Member in the Program you will be able to accumulate Links and redeem them for rewards that are offered in the Program and in the Program Reward Center.
  2. Each Reward will be subject to terms and conditions specific to the Reward that will be provided to you in conjunction with the Reward. These terms and conditions may address such matters as the expiration date of the Reward; anticipated shipping time for the Reward; the purchase or other requirements to obtain or use the Reward; any warranties for the Reward; or any other limitations or restrictions on obtaining, retaining or using the Reward. Neither ACI nor the Member’s association is liable to the Member, individually or as a business, if applicable, if a Reward expires prior to your use of the Reward. An expired Reward will no longer be available for use or redemption.
  3. Links will be deducted from the total Links available for redemptions and for any returns or credits associated with the account.
  4. Redemption of Links to contribute to a participating charitable organization includes a processing fee, which is retained by ACI.
  5. Certain restrictions may apply to travel certificates, tickets and documents. Travel certificates, tickets and documents are not exchangeable, refundable, transferable or redeemable for cash. All travel certificates, tickets, and documents will be mailed first class U.S. Mail and will not be replaceable in the event of loss, destruction, or theft. Member may request travel certificates, tickets, and documents to be delivered by overnight carrier and agrees to pay the associated additional delivery fees by credit card. Member is responsible for any applicable fees and taxes associated with travel redemptions.
  6. Certain Rewards may require you to make a purchase at a merchant or take certain other action(s) within a specified time period in order to obtain the Reward. The number of Links required to obtain these Rewards will be deducted at the time of your redemption request and will be refunded to your Account in the event that you fail to make the purchase or take the other specified action within the required time period.
  7. Once a redemption order is placed, your Account will be reduced by the number of Links used to acquire the Reward. If you order a Reward that is subsequently cancelled or otherwise becomes unavailable, (and there is no substitute Reward available), after the order is placed, your Links will be reinstated to your Account and you will be notified of the cancelled Reward order. In the event of a return, chargeback, credit or other adjustment that results in insufficient Links for the Reward ordered, the Reward order will not be fulfilled. If the Reward order is fulfilled and we later discover that you did not have sufficient Links for that Reward in your Account, in addition to any other action we may take, you may forfeit future Link earnings or future Links may be applied to that Reward until such time as sufficient Links are accrued to cover the redemption of the Reward.
  8. Many of the Rewards are certificates that are redeemed at participating merchant locations. You and the applicable merchants are responsible for compliance with all laws related to the Reward, including the payment and collection of any federal, state, or local taxes. Refer to the Reward certificate for details.
  9. If you redeem your Links for and/or you purchase GiftBridgeSM prepaid cards, please read and understand the separate terms and conditions of GiftBridge

The card can be used at select dining establishments and movie theaters that welcome American Express® Cards in the U.S. as listed on www.rewardearner.com/dinnerandmovie. Merchants are subject to change. See merchant specific terms and conditions for restrictions. Card valid for 6 months; unused points will be forfeited the first day after the valid thru date, subject to applicable law. Usage restrictions and guidelines apply. Card cannot be redeemed for cash and is not transferable. The Card is point based with 1 point = $1 U.S. in purchasing power. The Card is issued by InteliSpend Prepaid Solutions, LLC. Card terms and conditions apply. The Card cannot be issued to minors.

      GiftBridge Celebrate® Card

      The GiftBridge Celebrate Card can be used at select merchants that welcome American Express® Cards in the U.S. as detailed at www.celebratepoints.com. The card is point based with 1 point = $1 in purchasing power. Card valid for up to 12 months; unused points will be forfeited at midnight MST the last day of the month of the valid thru date, subject to applicable law. Usage restrictions and guidelines apply.       GiftBridge Persona® Card

      The GiftBridge Persona Card can be used at select merchants that welcome American Express® Cards in the U.S. and Canada as detailed at www.personaonline.com (U.S.) and personaonline.intelispend.com (Canada). The Card is point based with 1 point = $1 in purchasing power. Card valid for up to 12 months; unused points will be forfeited at midnight MST the last day of the month of the valid thru date, subject to applicable law. Usage restrictions and guidelines apply.   10. The list of merchandise, experience-based rewards, airlines, hotel, rental car, cruise, or tour companies and other listed rewards available in the AchieveLinks Program is subject to change and may be discontinued all or in part without notice.
  11. All travel rewards are subject to specific terms and conditions. Unless otherwise noted, airline reservations must originate from the contiguous 48 United States. Airline reservations must be made twenty-one (21) days in advance of travel, require a Saturday night stay and may have restrictions, blackout dates, and exclusions. ACI reserves the right to book all airline tickets on the carrier with the lowest available fare for the round trip between the cities requested. Certificates have no value except when used under the terms and conditions accompanying them. The terms and conditions of any travel offer may be amended by ACI at any time. Certificates and tickets issued as travel rewards must be issued in the name of the redeeming account holder or a Member of their immediate family. ACI is not responsible for the performance of the travel providers associated with the Program. All reservations are made subject to the conditions of carriage, supply, or business of the party providing the service, which include exclusions and limitations of liability.
  12. All travel rewards are subject to the rules and restrictions imposed by the individual travel companies, airlines, hotels, rental car, cruise line, and tour companies. Compliance with these rules is the responsibility of the Member. Airline ticket travel rewards are not refundable, nor may they be returned to the Program for a credit of Links to the original account. Tickets are non-changeable unless permitted by the airline issuing the ticket. Fees that apply due to permitted changes by the airline are the responsibility of the traveler. En-route stopovers are not permitted unless they are to make direct connections within the carrier's rules. Minimum or maximum stays required by the carrier may apply.
  13. Issuance of some travel certificates does not constitute a reservation. In such cases, the certificate holder is responsible for making all reservations with the company that issues the certificate.
  14. EVERY EFFORT HAS BEEN MADE TO ENSURE THAT THE INFORMATION REGARDING THE PRODUCTS AND SERVICES OFFERED BY PARTICIPATING REWARD SUPPLIERS IS ACCURATE. NEITHER THE PROGRAM SPONSOR, ANY EXISTING TRAVEL PROVIDER OR OTHER POTENTIAL TRAVEL SUPPLIERS, NOR THEIR RESPECTIVE PARENT AND SUBSIDIARY COMPANIES ARE RESPONSIBLE FOR ANY ERRORS OR OMISSIONS IN SUCH INFORMATION. Travel Rewards Providers and/or any other travel agent or provider in the Program, its owners, agents, and employees act only as reservation agents for transportation, hotel, rental agencies, cruise lines, tour operators and other travel related services. Neither existing Travel Providers (the travel fulfillment partner) nor any other Travel Provider nor the Program Sponsor, will be responsible for any travel supplier or airline performance, cancellation of flights, schedule changes, flight delays, default, bankruptcies, or other reasons; nor for any death, injury, loss, damage or inconvenience whatsoever to a person or property in connection with any trips taken or travel services booked through the existing Travel Providers or any travel supplier supporting the Program by or for the reward account holder or other individual(s) named on travel tickets or documents. Although existing Travel Providers or any other travel supplier will do all possible to help or re-book each Customer or Program Member in the case of a supplier not delivering a Reward, neither existing Travel providers nor any other travel supplier nor the Program Sponsor is responsible for any additional costs you may have to incur in relation to a Reward which is canceled or cannot be provided for any reason.
  15. To see additional rules regarding certificate redemptions for airline tickets, cruises, car, and hotel rewards, please see the travel section of the AchieveLinks website. These terms and conditions, combined with the General Program Terms and Conditions, and any local rules published by your sponsoring financial institution, constitute the full set of Program Rules
  16. Member agrees to hold Affinity Center International LLC, its parent company and/or subsidiary companies and the participating association(s) and any Suppliers associated with the Program totally harmless if Supplier fails to meet its contractual and other obligations with ACI resulting in the Program being interrupted or terminated prior to giving the Member the opportunity to redeem their Links or receive the gift/travel rewards. Also, the Member agrees to hold ACI and the participating associations harmless if a Supplier files for bankruptcy or otherwise goes out of business after Links are redeemed for a reward from the Supplier but before the Member is able to receive the reward.
  17. Neither ACI nor the Member's participating association are responsible for any disputes between or involving joint accounts (household/corporate accounts) or authorized users relating to Links, redemption for Rewards, or use of Rewards. Rewards are provided by a variety of Suppliers. ACI and our service providers are not responsible for the quality or performance of the Rewards or the products or merchandise purchased or obtained with the Rewards. You may be subject to additional terms and conditions, warranties or other requirements of the merchant, manufacturer or other Supplier.
  18. NEITHER ACI NOR PARTICPATING ASSOCATIONS MAKES ANY GUARANTEE, WARRANTY OR REPRESENTATION OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THE REWARDS, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Participating associations and ACI are not liable for any injury, damage or loss to person or property or any expense, accident or inconvenience that may arise from the use of the Links, or the use of the Rewards or products or merchandise purchased or obtained with the Rewards, or otherwise in connection with the Program. Further, the Member's associations and ACI are not responsible for merchants, manufacturers or other Suppliers that discontinue or cancel a Reward due to bankruptcy or for any other reason. Neither ACI nor the association makes any representation or endorsement of any Reward, merchant or other Supplier of a Reward in connection with the Program.
  19. ACI is not liable for loss of misdirected correspondence, requests, freight, or Reward Certificates that may be incomplete, illegal, delayed, lost or stolen.

Member in AchieveLinks - Other

  1. If a Member has applied for and received an AchieveLinks credit card from the card issuing bank partner you are agreeing to the terms and conditions of that card issuer and account. Please read the separate terms and conditions of the credit card account holder and issuer rules on their card program enrollment website.
  2. If a Member holds an AchieveLinks credit card, the Member's credit card account may be charged for the actual cash difference between the cost of the Reward redeemed and the net value of the actual Links available for redemption in the event the Member redeems unearned Links.
  3. You can view your Transaction History for Account activity at any time online, which will show the number of Links you have in your Account, the recent Qualifying Purchases made, and any redemption activity on your Account. Qualifying Purchases may take up to 90 days to post to your Account. Some transactions may take longer to be posted.
  4. If you do not complete a Qualifying Purchase, redeem Links , or access your Account at least once every 90 days, you may experience a delay of up to 5 days when you next attempt to access your Account or redeem Links.
  5. Disclaimers and Limitations – Affinity Center International, LLC may waive any obligation you have under the Terms and Conditions of the Program without losing our right at a later time to enforce that same obligation. ACI will not lose any of our rights under the Terms and Conditions of the Program if we delay taking action for any reason. If we take any other action, ACI will not lose any rights under the Terms and Conditions of the Program.
  6. You hereby release and hold participating association(s), Affinity Center International LLC and all parties, vendors, participating associations and Suppliers associated with the Program harmless from any claim, liability or damage relating to the Program or your use of the Rewards. Any Reward offered under this Program is void where prohibited by law. Notwithstanding anything in these Terms and Conditions to the contrary, ACI and participating associations and any of their service providers will have no liability to the Business or you in connection with the Program.
  7. ACI reserves the right to cancel any AchieveLinks membership and revoke any and all unredeemed Links collected by any Member for reasons that include, but are not limited to: 1) violation of these Rules; 2) misrepresentation of any information or any misuse of this Program; 3) violation of any national, state or local law or regulation in connection with the use of membership privileges; 4) failure to pay for any item purchased in the earning side or redeeming side; 5) a check or debit card to a participating affinity partners that is returned for insufficient funds or is invalid for any reason; 6) commission of fraud or abuse involving any portion of this Program; 7) physical, verbal, or written abuse of ACI or participating affinity partner personnel; or 8) action, in any other way, to the detriment of the Program or any of its alliances; all as may be determined by ACI in its sole discretion
  8. ACI and its Partners reserve the right to change, limit, modify or cancel Program Rules (including the number of Links issued for a Qualifying Purchase), regulations, benefits, conditions of participation, rewards and reward levels in whole or part at any time, even though changes may affect the value of Links or rewards already accumulated. You will be bound by any such changes.
  9. Upon enrollment, a Member's account is active for 15 months. Member's account is active as long as the Member either earns or redeems Links at least once every 15 months. The Member's account inactivity date will be extended 15 months from the date of the last earned or redeemed Link. If a Member fails to earn or redeem a Link for a 15-month period, the Member's account will become inactive. Inactive accounts can be reactivated up to 12 months from the date the account was inactivated, for a fee of $25 or 2,850 Links . Reactivation requests must be submitted by email to ACI's customer service department at achievelinks@affinitycenter.com and any associated fees must be paid by credit card. Please allow 14 days from the time the account reactivation request is approved for your account to be reactivated. Terms, conditions and fees subject to change by ACI, without notice.
  10. If the participating association that established the relationship with the Member decides to no longer participate in the Program the earned Links remain available to the Member. The ability to earn additional Links may become unavailable at a period in the near term to be determined by ACI.
  11. If the participating Member in the Program decides to no longer be active in the association that established the relationship to the Program the earned Links remain available to the Member. The ability to earn additional Links may become unavailable at a period in the near term to be determined by ACI.
  12. Individuals and businesses enrolling in the Program establish a "Master Account" by default. If a Master Account Member invites another Member(s) to join their account, the Member(s) who accept the invitation is considered a "Linked Account". A Linked Account Member will not be able to redeem Links earned under that account. The Master Account Member retains sole authority to redeem Links for Rewards.
  13. Any changes to these Terms and Conditions will be reflected on the AchieveLinks web site and will be effective immediately unless stated otherwise. A notice that a change has been made will be placed on the web site for a reasonable period of time. ACI will attempt to notify active Members of major Program changes, but will not be liable for failure to do so, and all Members will nevertheless be bound. An active Member is defined as any Member having Link activity (earning or redemption) within the last six months, to-date.
  14. Neither the Program nor any benefit offered by the Program creates, constitutes or gives rise to any legal or contractual rights by Members against ACI.

Under the data protection legislation of various countries, we are required to particularly draw your attention to the fact that by agreeing to the Program by using the Program or by continuing to exercise the privileges of the Program and in order to make it possible for ACI to perform its obligations under the Program, you accept and explicitly authorize that your personal information which is supplied by you in the enrollment form or during the course of your Program membership (i) shall be processed by ACI and/or its technology providers/ vendors, in its capacity of data controller, by its subsidiaries, affiliates or franchisees, including ACI Partners and/or web stores and (ii) may be transferred worldwide to any third parties with which ACI is affiliated within the scope of the Program or to third parties to process your personal data on our behalf or where required by applicable law or in the event of a company reorganization, merger or acquisition, for use of such information for its (their) administration of membership records, guest service, advertising, marketing and communication purposes. They or ACI may contact you for marketing purposes by mail, fax, telephone or email. Also, as an additional value-added benefit, we are offering you the opportunity to receive information on goods or services that may be of interest or value to you by providing various companies a mailing list of AchieveLinks Members.
  16. This Program or participation therein is not valid and/or the awarding of Links and/or the granting of Rewards is void where prohibited or restricted by law in the country of the Member's domicile.
  17. Program violations, suspected fraud or abuse in relation to point or Reward usage is subject to appropriate administrative and/or legal action by appropriate governmental authorities and by ACI, including, without limitation, freezing your Account, the forfeiture of all Link transfers, Rewards, vouchers, or merchandise issued pursuant to Links redemptions and any accrued Links in your Account, as well as cancellation of the Account and your future participation in the Program.
  18. Interpretations of Program Terms and Conditions shall be at the sole discretion of ACI. ACI reserves the right to add, modify, delete or otherwise change these Rules or any other terms or conditions related to the Program at its sole discretion, with or without notice and subject to local laws and regulations.
  19. The overall Program and the associated Links are designed as a positive experience for the association, the association member, Partners and ACI. The Program will be owned, managed and directed by ACI. It may make any changes at any time (including but not limited to cancelation of the overall Program to general modifications in one Member account and anything else at any level), to the overall Program, each individual association Program, each and any Partner without retribution or harm against ACI, its parent company or any executive or employee of either. The earning and redeeming value, rates, conversion of Links is determined at the sole direction and decision of ACI or its parent companies. If the Program becomes out of balance and is not a benefit to ACI, the association, the Member or Partners it can be changed, modified or canceled at anytime without notice or providing any value or reward to any member.
  20. ACI holds the right to deny any association, any Member or any Partner access or enrollment or involvement in the Program or any program it manages at its sole discretion.

General

These Rules, together with any additional terms to which you agree in relation to the Program, constitute the entire and exclusive and final agreement between you, ACI and its Partners with respect to the Program or any other matter covered hereunder, superseding any prior agreements or negotiations between you and such parties with respect to such subject matter. These Rules and the relationship between you and ACI will be governed by the laws of the State of Missouri as applied to agreements made, entered into, and performed entirely in Missouri by Missouri residents, notwithstanding your actual place of residence. All lawsuits arising from or relating to these Rules or your use of the Program will be brought in the Federal or State courts located in the Eastern District of Missouri, and you hereby irrevocably submit to the exclusive personal jurisdiction of such courts for such purpose.

The failure of ACI to exercise or enforce any right or provision of these Rules shall not constitute a waiver of such right or provision. If any provision of these Rules is found by a court of competent jurisdiction to be invalid, you nevertheless agree that the court should endeavor to give effect to the intentions of ACI and you, as reflected in the provision, and that the other provisions of these Rules remain in full force and effect. These Rules will be interpreted without application of any strict construction in favor of or against you or ACI.
